Guild Statement & Agreement
This Guild Statement & Agreement (“GSA”) is made by and between The Magisterium Vanguard (“TMV”) and guildies and all perspective guildies, (“guildies”).
A. TMV is engaged in the activity of creating, leading, and facilitating interactive and social software entertainment activities with other individuals, such as massive multi-player online gaming (“MMOs”) and/or cooperative game-play (“Co-Op”) on platforms such as Steam. Guildies will perform and abide by this agreement, and subsequent guild rules as provided by the guild's by-laws, guild forums and Membership Requirements.
B. TMV desires to have the services and membership of guildies.
C. Guildies are engaged in the activity of playing MMOs or Co-Op games.
The parties agree as follows:
MEMBERSHIP. TMV shall recruit current and perspective guildies as players of TMV. Guildies shall abide by guild rules and participate in related guild events, as provided by in guild rosters described in the forums, which is made a part of this agreement by this reference. Guildies accept and agree to such membership, and agree to be subject to the general supervision, advice and direction of TMV officers and directors.
DUTIES OF GUILDIES. Guildies agree to perform faithfully, with diligence, and to the best of their abilities, experience, and talents, in exercising a duty of care and loyalty as expected of a reasonably prudent person, to the reasonable satisfaction of TMV. Such duties will include those provided by reference in the Membership Requirements (Exhibit A), guild rosters, and as amended by TMV through the direction of its officers. Guildies shall devote a reasonable amount of time to the rendition of aforesaid Services, subject to absences for customary vacations, illness, work related matters, educational related matters, and as provided for in advance by guildies. Guildies will not engage in any other membership which requires guildies' personal attention and/or creates a conflict of interest with responsibilities under this Agreement without the prior approval of TMV officers.
DUTIES OF TMV. TMV will take a "players first" stand when it comes to its guildies. TMV shall provide, for all guildies: websites, interactive-forums, streamed content, guild youtube channel, and a gaming community and social interaction based in game and on Steam platforms. In games, TMV shall provide organized and progressive game-play with other like minded gamers seeking community game-play. Upon termination of this Agreement, TMV and the perspective guildy's responsibilities under this paragraph shall cease; provided that TMV and the perspective guildy are entitled to reasonable time to terminate responsibilities to each other.
Guildies will adhere to the following guidelines and responsibilities as supplemented by the GSA:
Guildies will not use nor-encourage the usage of exploits during game-play. This includes outside game software, etc, e.g. botting.
Guildies will will not poach members from other guilds.
Guildies will refrain from airing or broadcasting their personal grievances in guild chat.
Guildies will refrain from introducing real life matters in guild that a reasonable person would expect to cause disruption, disturbances, and misconduct.
Guildies will take reasonable steps to utilize the guild website or other sources to supplement knowledge of game content, e.g. raids.
Guildies will respect and abide by the availability of other guildies time in game. Additionally, guildies will refrain from trolling and / or active disruption of guild events / guildies generally.
Guildies will give sufficient notice if they cannot attend guild events for which they have signed up for.
Guildies will use reasonable efforts to promote or suggest further recruitment for TMV or related increased membership.
Guildies shall abide by the authority of TMV officers, deferring to their judgment for any suggestions or changes.
Guildies shall bring any game related grievance to the attention of TMV officers, who will sort out the matter.
